These Terms of Service govern your use of the Corply platform and services. By accessing our website or using any of our services, you agree to be bound by these terms. Please read them carefully before proceeding.

1. Acceptance of Terms

By accessing or using Corply's website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Services.

We may update these Terms from time to time. Continued use of the Services after changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.

2. Description of Services

Corply provides business formation and management services, including but not limited to: LLC and C-Corp formation, EIN registration, registered agent services, compliance monitoring, tax filing, bookkeeping, and business bank account setup.

Corply is not a law firm and does not provide legal, tax, or financial advice. Our services are designed to assist entrepreneurs with administrative processes related to forming and maintaining their U.S. business entities.

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Fees and Payments

Certain Services require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as described in our Refund Policy. State filing fees, government fees, and third-party charges are separate from Corply service fees.

We reserve the right to change our pricing at any time. Price changes will not affect orders that have already been placed and confirmed.

5. User Obligations

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to form entities for fraudulent, illegal, or deceptive purposes.

You are solely responsible for ensuring that your use of the Services complies with all applicable federal, state, and local laws, regulations, and ordinances.

6. Intellectual Property

All content, trademarks, logos, designs, software, and other materials on the Corply platform are the intellectual property of Corply Inc. or its licensors. You may not copy, modify, distribute, or create derivative works from any content without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, Corply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.

Corply's total liability for any claim arising from these Terms or the Services shall not exceed the amount paid by you to Corply during the twelve (12) months preceding the date of the claim.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Corply does not guarantee that any filing or application will be approved by any government agency.

Processing times provided are estimates only and may vary based on government agency workloads, state requirements, and other factors beyond our control.

9. Termination

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or for any other reason we deem appropriate. You may terminate your account at any time by contacting our support team.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware.
